Plain-language summary

You can read, modify, and self-host Nimbus for your own internal use.
You cannot repackage Nimbus as a paid product that competes with Yoodule.
Hosting Nimbus for your own team is fine. Reselling a hosted Nimbus to third parties is not.
Four years after each release, that release converts to Apache 2.0 and the restrictions above stop applying to it.
The Nimbus name and logo are Yoodule trademarks and are not licensed under BUSL-1.1.

Additional Use Grant

You may make production use of the Licensed Work, provided your use does not include offering the Licensed Work to third parties on a hosted or embedded basis in order to compete with Yoodule LLC's paid version(s) of the Licensed Work. For purposes of this license:

A "competitive offering" is a Product that is offered to third parties on a paid basis, including through paid support arrangements, that significantly overlaps with the capabilities of Yoodule LLC's paid version(s) of the Licensed Work. If your Product is not a competitive offering when you first make it generally available, it will not become a competitive offering later due to Yoodule LLC releasing a new version of the Licensed Work with additional capabilities. Products that are not provided on a paid basis are not competitive.
A "Product" means software that is offered to end users to manage in their own environments or offered as a service on a hosted basis.
"Embedded" means including the source code or executable code from the Licensed Work in a competitive offering. "Embedded" also means packaging the competitive offering in such a way that the Licensed Work must be accessed or downloaded for the competitive offering to operate.
Hosting or using the Licensed Work(s) for internal purposes within an organization is not considered a competitive offering. Yoodule LLC considers your organization to include all of your affiliates under common control.

If your use of the Licensed Work does not comply with the Additional Use Grant, you must either purchase a commercial license or refrain from using the Licensed Work.

Accepting

Additional Use Grant

The Licensor hereby grants you rights to make production use of the Licensed Work. The rights granted in this Additional Use Grant are subject to the limitations specified in the Nimbus parameters above.

Effective Date

The date the Licensed Work was first made available under this License.

Owner

The individual or entity that owns the copyright in the Licensed Work.

Licensed Work

The software distributed by the Licensor under this License, including source code, object code, build artifacts, and accompanying documentation.

Use

Any act of running, copying, modifying, distributing, or otherwise exploiting the Licensed Work.

Production Use

Use of the Licensed Work in a production environment, including but not limited to hosting, embedding, or providing services based on the Licensed Work to third parties, where the use is not solely for development, testing, personal, educational, or non-commercial research purposes.

Internal Use

Use of the Licensed Work solely within the Licensor's organization, its affiliates, or by a third party solely for the internal operations of that third party.

Notice

The Licensor may make an Additional Use Grant, above, permitting limited production use. The rights granted in the Grant of Rights paragraph terminate on the Change Date specified in the Nimbus parameters above, or on the fourth anniversary of the first publicly available distribution of a specific version of the Licensed Work under this License, whichever comes first.
